KIIT School of Law, Deemed to be University, in collaboration with the Centre for Studies in Business and Corporate Laws (CBCL), under the aegis of the Department of Business Laws & Corporate Governance (DBLCG), successfully organized a Guest Lecture on “Board Automation in Corporate Governance” on 25th March 2026.
The lecture was delivered by Prof. (Dr.) Indrajit Dube, Founding Vice Chancellor of NLU Meghalaya and Professor at IIT Kharagpur, an eminent academician in the field of corporate law and governance.
The session explored the evolving intersection of technology, artificial intelligence, and corporate decision-making. Prof. Dube commenced his address by highlighting the immense economic and social influence exercised by multinational corporations such as Apple, Google, and the Tata Group. He emphasized that decisions taken at the board level extend far beyond shareholder interests, shaping global markets and impacting everyday life.
Advocating for a progressive shift in governance frameworks, he underscored the need for a stakeholder-centric model rooted in accountability, transparency, fairness, and responsibility. A key highlight of the lecture was the concept of Algorithmic Governance and the emerging idea of an “AI Director.” Prof. Dube elaborated on how artificial intelligence can evolve from a decision-support tool to an integral component of corporate governance, capable of strategic simulations under human oversight.
He further outlined a phased transition towards autonomous, AI-driven governance structures, noting that generative AI technologies hold significant potential in enabling board automation.
The session concluded with an engaging interactive discussion, where participants deliberated on critical issues such as machine liability and the ethical deployment of artificial intelligence in corporate governance, followed by a formal vote of thanks.
